Weight Watchers International, Inc. (the "Company") believes in its mission to help people adopt a healthier lifestyle, which includes fighting hunger in many economically depressed communities. In connection with the Company's mission and consistent with its history of making charitable contributions to hunger-fighting organizations providing assistance at the community level, the following actions have been taken in accordance with Section X of the Company's Amended and Restated Code of Business Conduct and Ethics (the “Code”):


  • On August 1, 2018, the Company's Board of Directors (the “Board”) approved the Company's charitable donation to Action Against Hunger USA and its global affiliates in the form of a cash donation in connection with the Action Against Hunger USA 2018 gala, not to exceed $50,000 in the aggregate.

  • Mr. Raymond Debbane, Chairman of the Board, also serves as the chairman of the board of directors of Action Against Hunger and Mr. Thilo Semmelbauer, a Director of the Company, serves as a the co-chairman of the board of directors of Action Against Hunger.


    Julie Rice, a Director of the Company, is a Partner at WeWork, a shared workspace company. From time to time, the Company enters into transactions with WeWork to obtain workspace to conduct the Company’s business. On April 2, 2019, the Board determined that Ms. Rice did not have and will not have a direct or indirect material interest in the current and proposed transactions reviewed by the Board and that the transactions are in the best interest of the Company. Furthermore, in accordance with Section IV of the Code, the Board also approved and ratified on that same date Ms. Rice’s continued service on the Board during her tenure as a Partner of WeWork.
